Overview

We are seeking an experienced Corporate Secretarial Manager to join our team and play a key role in driving corporate compliance and governance standards across our client portfolio. This role involves managing a team of corporate secretarial professionals, overseeing statutory compliance requirements, and acting in key governance roles where necessary.

The ideal candidate will bring both technical expertise and leadership ability, contributing to the growth and service excellence of our practice.

Responsibilities
  • Lead and manage the daily operations of the corporate secretarial team, ensuring efficient task execution and compliance with statutory timelines.
  • Provide full-suite corporate secretarial services to a portfolio of local and international clients, including incorporation, routine compliance, AGM matters, and ad hoc advisory work.
  • Review and approve resolutions, statutory filings, and relevant corporate documents prepared by the team.
  • Serve as Company Secretary and/or Nominee Director for client entities where required, fulfilling fiduciary and regulatory obligations.
  • Ensure all corporate actions and documentation are compliant with the Singapore Companies Act and applicable regulatory frameworks.
  • Maintain personal registration with ACRA as a Qualified Individual (QI) and Registered Filing Agent (RFA), ensuring high standards of filing accuracy and timeliness.
  • Act as a key contact for clients, providing practical advice on corporate governance and compliance matters.
  • Identify and mitigate compliance risks within client engagements; propose and implement process improvements where relevant.
  • Support team development through training, mentoring, and performance oversight of junior staff.
Requirements
  • Qualifications to be RQI.
  • At least 4 years of relevant corporate secretarial experience, with prior team management or supervisory responsibilities in a professional firm setting.
  • Strong knowledge of the Singapore Companies Act and corporate governance best practices
  • Comfortable working independently and managing multiple deadlines in a client-facing environment.
  • Strong interpersonal and communication skills, with a client-centric mindset.
  • Proficient in corporate secretarial software (e.g., CAS360, ViewPoint, or equivalent), and ACRA’s BizFile+ platform.
  • Must be eligible and willing to register as a Qualified Individual and Filing Agent with ACRA.
  • Demonstrates integrity, accountability, and a proactive approach to governance.
