Senior Legal Counsel / Legal Director - Toa Payoh

Experience in a U.S.-listed company or a top-tier international law firm is highly valued.

Key Responsibilities:

• Provide legal advice and support across a broad range of areas, including corporate governance, business operations, and commercial transactions.
• Lead and manage cross-border M&A transactions, including legal due diligence, transaction structuring, contract drafting, and negotiations.
• Advise on U.S. capital markets compliance matters, including SEC filings, disclosure obligations, and shareholder communications.
• Draft, review, and negotiate key business agreements and vendor contracts.
• Work closely with external counsel and effectively manage legal budgets.
• Collaborate with cross-functional teams across departments and regions to ensure legal support aligns with business objectives.
• Mentor junior legal staff and, where applicable, lead and develop a small legal team.
• Assist in enhancing and maintaining internal compliance programs, including those related to anti-bribery, data protection, sanctions, and export controls.

Who You Are:

• A law degree from a top-tier university; legally qualified in Singapore, Mainland China, Hong Kong, the U.S., or another common law jurisdiction.
• 8–12 years of relevant legal experience, including at least 2–3 years in a leadership or team management role.
• Proven experience in leading or advising on cross-border M&A transactions.
• Experience with a U.S.-listed company or an international law firm is a plus.
• Fluent in English with excellent drafting and negotiation skills; Chinese language ability is a plus (to effectively communicate with Chinese-speaking associates).
• A commercially minded professional with strong communication skills and the ability to thrive in a fast-paced, international environment.
