Role Overview
We are seeking a highly motivated and detail-oriented Transactional Risk Underwriter to join our underwriting team. The role focuses on underwriting specialized insurance products supporting mergers and acquisitions (M&A), including Warranty & Indemnity (W&I) Insurance and Tax Liability Insurance (TLI).
The successful candidate will work closely with MGAs, brokers, reinsurers, legal advisors, tax experts, and corporate clients to assess transaction risks and assist in structuring tailored insurance solutions. The salary range indicated in this job posting is strictly a guide and the compensation package offered to the final candidate will be commensurate with his/her experience.
Key ResponsibilitiesA. Underwriting
- Assess and underwrite risks associated with M&A transactions, including:
- Warranty & Indemnity (W&I) insurance
- Tax liability insurance
- Contingent risks / bespoke deal-related coverages
- Review transaction documentation such as Sale and Purchase Agreements (SPAs), Disclosure letters and due diligence reports (legal, financial, tax, commercial)
- Identify potential risk exposures, exclusions, and coverage
- Deliver timely underwriting decisions aligned with the Company’s risk appetite and capacity
- Coordinate internal approvals
- Evaluate legal, financial, and tax due diligence materials to understand key risk drivers
- Work with external advisers (law firms, tax advisors, accountants) to analyse transaction risks
- Structure policy terms, including coverage scope, exclusions, limits, deductibles, and pricing
- Draft and negotiate Non-Binding Indications (NBIs), binders, and policy wordings
- Collaborate closely with brokers, MGAs and reinsurers throughout the transaction lifecycle
- Participate in underwriting calls, diligence sessions, and deal negotiations
- Provide technical underwriting guidance to clients and brokers
- Monitor andmanage portfolio performance, including exposure aggregation
- Support claims assessment where required, working alongside the claims teams
- Ensure compliance with internal underwriting guidelines and regulatory requirements
- Build and maintain relationships with MGAs, brokers, reinsurers, law firms, and transaction advisors
- Support business development initiatives and contribute to pipeline growth
- Stay informed of trends in M&A markets, insurance products, and regulatory developments
Requirements
Education- Bachelor’s degree in Law,Finance, Accounting, Economics, or a related discipline
- Advanced degrees (e.g., JD, LLM,CPA, CFA) are advantageous
- 3 to 8 years of relevant experience in one or more of the following:
- Transactional risk / M&A underwriting
- Corporate law (M&A/private equity)
- Transaction advisory / due diligence
- Investment banking or corporate finance
- Tax advisory (particularly transaction tax)
- Strong understanding of M&A processes and transaction documentation
- Ability to analyze legal, financial, and tax risks in complex transactions
- Commercial mindset
- Excellent negotiation and communication skills
- High attention to detail and ability to work under pressure
- Strong organizational and multitasking abilities
- Collaborative team player with client-facing confidence
