Job Purpose

The Legal Assistant provides legal and corporate secretarial support to the Organisation to ensure compliance with applicable laws, regulations, and internal governance requirements. The role supports contract management, regulatory compliance, governance matters, disciplinary proceedings, and risk management to safeguard the Organisation’s legal and operational interests.

Role and Responsibilities

Legal & Contractual Matters
  1. Draft, and review, and negotiate contracts, agreements, and legal documents related to club operations, membership, vendors, and other stakeholders.
  2. Ensure all legal documents align with the Organisation’s Constitution, Bye-Laws, and regulatory requirements.
  3. Maintain and update the contract register/database and monitor renewal timelines.
  4. Conduct legal research and provide advice on matters affecting the Organisation.
Compliance & Governance
  1. Ensure compliance with statutory and regulatory requirements, including the Societies Act and other relevant legislation in Singapore.
  2. Provide secretarial support to the Legal & Constitution Sub-Committee, including preparation and review of governance documents, policies, and procedures.
  3. Provide legal Corporate secretarial support to the General Manager, Management Committee and sub-committees, including reviewing minutes and resolutions for AGM.
  4. Conduct periodic reviews of the Organisation’s Constitution and Bye-Laws and recommend amendments where necessary.
  5. Monitor legislative and regulatory developments and advise Management on changes impacting organisation operations.
Membership & Disciplinary Matters
  1. Assist in handling member disputes, disciplinary cases, and compliance issues.
  2. Secretarial support the Rules & Membership Sub-Committee in investigations, documentation, and legal assessments on Complaints or Disciplinary issues.
  3. Draft correspondence relating to disciplinary actions, appeals, and rule breaches.
Risk Management & Dispute Resolution
  1. Identify potential legal risks and provide recommendations to mitigate them.
  2. Support dispute resolution processes including mediation and litigation.
  3. Liaise with external legal counsel and assist in managing legal proceedings where required.
Regulatory & Licensing Matters
  1. Ensure the club holds all necessary licenses and approvals for operations, including those related to liquor, events, and employment regulations.
  2. Monitor legislative updates and provide recommendations to the club on legal changes that may impact operations.
AGM & EOGM Responsibilities
  1. Coordinate and manage the preparation and documentation for Annual General Meetings (AGM) and Extraordinary General Meetings (EOGM), in consultation with the General Manager.
  2. Ensure compliance with constitutional and statutory requirements relating to meetings and resolutions.
Other Duties
  1. Conduct legal research and provide advice on matters affecting the club.
  2. Assist in the preparation of reports for management and regulatory bodies.
  3. Follow the workplace safety and health system, safe work procedures or safety rules implemented at the workplace
  4. Not engage in any unsafe or negligent act that may endanger yourself or others working around you
  5. Use personal protective equipment provided to you to ensure your safety while working. You must not tamper with or misuse the equipment
  6. Perform other duties as assigned by the Management Committee or senior management.
Qualifications and Education Requirements
  • Law diploma or law degree for Paralegal/Legal Executive with min. 2-3 year of experience in legal assistance, secretarial, paralegal, or corporate support roles; in house or law firm experience is an added advantage.
  • Strong attention to detail and accuracy.
  • Good organisational and time management skills with the ability to multitask.
  • Ability to work independently and collaboratively in a team environment.
  • High level of professionalism, integrity, and confidentiality.
  • Strong communication and interpersonal skills.
  • Proficient in Microsoft Office applications (Word, Excel, PowerPoint).
