About the job

To provide strategic legal support and guidance on mergers, acquisitions, divestitures, joint ventures, and other corporate development activities. The role involves managing legal risks, ensuring regulatory compliance, and supporting the execution of complex transactions aligned with the company’s growth objectives.

Job Responsibilities:

  1. Transactional Legal Support
  • Lead and manage legal aspects of M&A transactions from inception to post-closing integration.
  • Draft, review, and negotiate term sheets, NDAs, SPAs, shareholder agreements, and other transaction documents.
  • Coordinate legal due diligence and identify key risks and mitigation strategies.
  1. Stakeholder Management
  • Collaborate with internal stakeholders (e.g., Corporate Development, Finance, Tax, HR, Compliance) to align legal advice with business objectives.
  • Liaise with external counsel, regulators, and counterparties to ensure smooth transaction execution.
  1. Risk Management & Compliance
  • Advise on legal and regulatory risks associated with transactions, including antitrust, foreign investment, and industry-specific regulations.
  • Ensure compliance with corporate governance requirements and internal policies.
  1. Post-Transaction Integration
  • Support legal aspects of integration planning and execution, including entity restructuring, employment matters, and contract novation.
  • Monitor and manage post-closing obligations and claims.
  1. Strategic Advisory
  • Provide legal input on strategic initiatives, including market entry, partnerships, and restructuring.
  • Monitor legal trends and regulatory developments impacting M&A activity.

Job requirements:

  • Bachelor’s degree in Law (LLB), with admission to the Singapore Bar or any other common law jurisdiction.
  • Minimum 4 years relevant experiences
  • Strong experience in M&A, joint ventures, and corporate transactions.
  • Familiarity with cross-border deal structures and regulatory regimes.
  • Excellent negotiation, drafting, and communication skills.
